eFashon Terms & Conditions

1. Acceptance of Terms

By creating an account, browsing, or otherwise using eFashon ("the Platform," operated by eFashon Limited, "we," "us"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, please do not use the Platform.

2. What eFashon Is

eFashon is a Nigeria-wide discovery platform connecting Clients with independent fashion designers and fabric sellers ("Members"). We help Clients discover Members through visual portfolios and connect with them directly via WhatsApp.

eFashon is not a party to any transaction between a Client and a Member. We do not manufacture, sell, ship, guarantee, or take responsibility for any garment, fabric, or service commissioned through a connection made on the Platform. Any agreement on price, timeline, quality, or delivery is made independently and directly between the Client and the Member.

3. Eligibility

You must be at least 18 years old to create an account on eFashon. By registering, you confirm that you meet this requirement and that all information you provide is accurate and current.

4. Accounts

4.1 Member Accounts

• Designers and fabric sellers create their own account and submit a profile for review
• Every new Member account, and every submitted listing, must be approved by eFashon's admin team before appearing publicly. We evaluate primarily on the quality and authenticity of submitted photography
• We reserve the right to reject or request changes to any submission at our sole discretion
• Members must upload only their own genuine work — reposted, stolen, or stock imagery is strictly prohibited and grounds for immediate removal

4.2 Client Accounts

• Clients create a free account to browse full Member showrooms, like/save Members, and initiate contact via WhatsApp
• Basic browsing of the Member gallery is available without an account; full showroom access and interaction require registration

4.3 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access.

4.4 One Person, Multiple Roles

An individual may hold both a Client account and a Member account. These are treated as separate roles within the Platform.

5. Member Fees & Payments

• Active Member listings require a flat subscription fee of ₦5,000 per month, applied equally to designers and fabric sellers, processed via Paystack
• This fee recurs automatically each billing cycle until cancelled
• A listing is only publicly visible when the Member's account is approved, their listing is approved, and their subscription payment is current (paid or specifically waived by eFashon at our discretion)
• If a payment fails, the listing is automatically removed from public view until payment is resolved
• Optional "Featured Placement" is available as an additional paid upsell, at the same flat rate regardless of category or region
• eFashon does not currently offer refunds on subscription fees already charged, except where required by law or at our sole discretion

6. Member Conduct & Responsibilities

By listing on eFashon, you agree to:

• Represent your work honestly and accurately
• Respond to genuine client inquiries in good faith
• Independently handle all aspects of any transaction arising from a Platform connection — pricing, deposits, timelines, delivery, and dispute resolution are entirely between you and the Client
• Not use the Platform for any unlawful purpose

eFashon does not guarantee any Member will receive inquiries, bookings, or income through the Platform.

7. Client Conduct & Responsibilities

By using eFashon as a Client, you agree to:

• Provide accurate registration information, including a working WhatsApp number
• Engage with Members respectfully and in good faith
• Understand that any commission, purchase, deposit, or agreement you make with a Member is entirely your own responsibility — eFashon is not a party to it and holds no liability for its outcome

8. Platform Role & Disclaimers

• eFashon is a discovery and introduction service only
• We do not vet, guarantee, warrant, or take responsibility for the quality, safety, legality, timeliness, or outcome of any goods or services provided by a Member
• Members are independent business operators, not employees, agents, contractors, or partners of eFashon
• We do not mediate disputes between Clients and Members, though we welcome reports of platform misuse (see Section 10)

9. Content & Intellectual Property

• Members retain full ownership of the photographs and content they upload
• By uploading content, a Member grants eFashon a non-exclusive, royalty-free license to display that content on the Platform (including the public gallery, e-showroom pages, and reasonable promotional use, e.g. featuring a live listing on eFashon's own social media) for as long as their account remains active
• eFashon's branding, design, logo, and platform code are the property of eFashon Limited and may not be copied or reproduced without permission

10. Prohibited Conduct

You may not:

• Create a fake account, impersonate another person or business, or misrepresent your identity
• Upload content you do not own or have rights to use
• Harass, threaten, or abuse other users or eFashon staff
• Attempt to circumvent the Platform's approval processes or security measures
• Use the Platform to conduct unlawful activity of any kind

Violation of these Terms may result in listing removal, account suspension, or permanent termination, at eFashon's sole discretion.

11. Admin Approval & Moderation

eFashon reserves the right, at any time and without prior notice, to:

• Approve, reject, or request changes to any Member account or listing
• Remove any listing or content that violates these Terms or that we determine, in our sole judgment, does not meet our quality standards
• Suspend or terminate any account for violation of these Terms

12. Termination

You may close your account at any time. eFashon may suspend or terminate your access to the Platform, with or without notice, for conduct that violates these Terms, is harmful to other users, or is otherwise at our discretion.

13. Limitation of Liability

To the fullest extent permitted by law, eFashon and its officers, employees, and partners shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform, including but not limited to loss of income, loss of data, or disputes arising from transactions between Clients and Members. Our total liability for any claim arising from your use of the Platform shall not exceed the amount you paid to eFashon, if any, in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify and hold eFashon harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

15. Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria. Any disputes arising from these Terms or your use of eFashon shall be subject to the exclusive jurisdiction of the courts of Nigeria.

16. Changes to These Terms

We may revise these Terms from time to time. We will post the updated Terms with a new "Last updated" date. Continued use of eFashon after changes take effect constitutes your acceptance of the revised Terms.
